Welcome to the Agri-Water Marketplace ("AWM," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, platform, and services (collectively, the "Platform"). By creating an account or using our Platform, you agree to these Terms.
1. Our Role as a Platform
Agri-Water Marketplace is a neutral technology platform that connects willing buyers and sellers of agricultural water allocations ("Users").
- We are not a water broker, agent, or legal advisor. We do not own, sell, or lease any water rights ourselves.
- We do not handle or move physical water. Our service facilitates the transfer of legal water allocations on the records of the relevant water districts.
- We do not guarantee transactions. All transactions are solely between the buyer and the seller. We are not a party to any water lease or sale agreement.
- We do not verify the underlying water rights. Users are responsible for ensuring they have the legal right to the water they list.
2. User Accounts & Responsibilities
- Eligibility: You must be an active agricultural producer or landowner in California to use this Platform.
- Account Security: You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
- Verification: You agree to provide accurate and truthful information during our verification and Stripe onboarding processes.
- Compliance: You agree to comply with all rules, regulations, and policies of your local water district, Groundwater Sustainability Agency (GSA), and all applicable state and federal laws.
3. Fees and Payments
- Subscription Fee: Access to the marketplace requires a non-refundable monthly subscription fee of $15.00, charged via our payment processor, Stripe.
- Brokerage Fee: For each successful water transaction completed through the Platform, AWM will charge the Seller a brokerage fee of 3.5% of the total transaction value. This fee will be automatically deducted from the payout to the Seller by Stripe.
- Payments: All payments between buyers and sellers are processed through Stripe Connect. By using the Platform to sell water, you agree to create a Stripe Connected Account and be bound by the Stripe Connected Account Agreement. AWM is not responsible for payment disputes between users.
4. Limitation of Liability
To the fullest extent permitted by law, Agri-Water Marketplace, its owner, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Platform. This includes, but is not limited to, financial losses from failed transactions, disputes between users, or regulatory actions by water districts.
5. Dispute Resolution
Any dispute arising out of or related to these Terms or the use of the Platform shall be resolved through binding arbitration in Tulare County, California.
6. Changes to Terms
We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on the site. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

Agri-Water Marketplace ("AWM," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, and share your personal information.
1. Information We Collect
Information You Provide:
- Account Information: When you sign up, we collect your name, email address, phone number, and designated water district.
- Financial Information: We do not collect or store your credit card or bank account information. This is handled directly and securely by our payment processor, Stripe.
Information We Collect Automatically:
- Usage Data: We may collect information about how you interact with our website, such as your IP address, browser type, and pages visited.
2. How We Use Your Information
- To operate and maintain the Platform.
- To process your subscription and marketplace transactions.
- To facilitate communication between buyers and sellers.
- To send you important notifications, such as transaction confirmations and updates.
- To comply with legal obligations.
3. How We Share Your Information
We only share your information with essential third-party service providers:
- Stripe: To process your subscription payments and to facilitate payments between buyers and sellers. We share your email and user ID with Stripe for these purposes.
- SendGrid: To send you transactional email notifications (e.g., welcome emails, new offer alerts). We share your name and email address with SendGrid for this purpose.
- Water Districts: We will share the completed and signed transfer agreements, which include your name and transaction details, with the relevant water districts to execute the water transfer.
We will never sell your personal information to third parties.
4. Your Rights under the CCPA
As a California resident, you have the right to:
- Know what personal information we have collected about you.
- Request that we delete your personal information.
- Opt-out of the sale of your personal information (which we do not do).

5. Data Security
We use industry-standard security measures, including password hashing and secure connections, to protect your information. However, no method of transmission over the Internet is 100% secure.
